BWC is a buy side M&A consultancy retained by professional investors to assist in conducting preliminary due diligence. You may be contacted by an associate to have a confidential conversation regarding transaction criteria and fit. If warranted, the next step is typically an introductory phone call with our client – the interested buyer. If both parties want to move forward, typically our client requests follow-up information for the purpose of valuing the company and drafting an offer, or indication of interest. Once terms are finalized, a formal letter of intent is submitted and the buyer continues through a due diligence checklist. After completing the checklist, the purchase agreement is signed and the transaction is funded and closed.
